Corporate and contracts

Contracts that protect your business

Most disputes between companies begin with a poorly written contract or an agreement that was never put on paper. A clear contract defines rights, deadlines and responsibilities before a problem arises.

Corporate legal advice takes care of the documents that support a company's operation: contracts with suppliers, distributors, sales representatives, service providers, business partners and customers.

When a commercial relationship goes wrong, the work turns to debt collection and credit recovery, first through negotiation and formal notice, and then, if necessary, through the courts.

In every case, the goal is the same: to reduce risks, preserve the business relationships that are worth keeping and resolve those that are not at the lowest possible cost.

When to seek advice

  • Before signing a contract with a supplier, distributor or partner.
  • When the company needs standard templates for selling or hiring.
  • When a customer or partner has stopped paying.
  • When a contract is being breached and action is needed.
  • When the company is about to enter into a partnership with a foreign company.

How it works

Review

Reading the contract or the case, identifying the risk points and what the company needs to secure.

Drafting or revision

Drafting the contract or proposing changes, with clear clauses on price, deadlines, guarantees, penalties and termination.

Negotiation

Support in negotiating the terms with the other party, when the company wishes.

Collection and disputes

Formal out-of-court notice, an attempt at settlement and, if necessary, a collection or enforcement lawsuit.

Frequently asked questions

Is an agreement made by WhatsApp or e-mail valid?

It can be, as evidence of the relationship and of what was agreed. But a written, signed contract avoids doubts and makes collection much easier.

Is it a good idea to use a ready-made contract template from the internet?

Generic templates rarely reflect the company's real operation and often leave out the points that cause the most disputes.

What should I do when a customer does not pay?

The first step is usually a formal notice with a deadline for payment. If there is no agreement, the most suitable action is assessed according to the documents available.

Is an electronic signature valid?

Yes. Brazilian law accepts electronic signatures, and recognised platforms record the date, time and identity of the signatories.
